The agreement between you and us.

1. Acceptance of these terms

By creating an account, signing a document, or otherwise using District Seal, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.

These Terms form a legally binding agreement between you and NEXSIM LLC, a Montana limited liability company ("we," "us," "our"), the operator of District Seal.

2. Who can use District Seal

You may use District Seal only if:

• You are at least 18 years old.
• You have the legal capacity to enter into a binding contract in your jurisdiction.
• You are not barred from using the service under the laws of the United States or any other applicable jurisdiction.
• If you are using the service on behalf of an organisation, you have authority to bind that organisation to these Terms.

3. Your account

You are responsible for:

• Maintaining the confidentiality of your account credentials, including any API keys you mint.
• All activity that occurs under your account, whether or not authorised by you.
• Notifying us immediately at support@districtseal.com if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate any account that we reasonably believe is being used in violation of these Terms, applicable law, or the rights of any third party.

4. The service

District Seal is a document signing service that performs the following functions on your behalf:

• Stores the documents you upload and presents them to the signer for review and signature.
• Runs a six-step identity ceremony (WebAuthn hardware check, forced scroll, informed consent, spoken challenge phrase, head-turn liveness, face match).
• Produces a signed PDF certificate containing the document hash and the forensic record of the ceremony.
• Publishes a public verification URL for each certificate.
• Stores the certificate and the audit trail for 7 years.

District Seal is not a notary public in the traditional sense of a state-commissioned officer. We produce a technological record of identity and consent. Whether that record satisfies the notarization requirements of any given jurisdiction is a legal question that depends on the jurisdiction and the specific document. Consult a licensed attorney in the relevant jurisdiction before relying on District Seal for any notarization requirement.

District Seal is not a law firm and does not provide legal advice. Nothing in the service or these Terms creates a lawyer-client relationship.

5. Signer identity and evidence

When you create a transaction, you upload:

• The document to be signed.
• A reference photograph of the intended signer.

The entire verification chain depends on the accuracy of the reference photograph. If the reference does not depict the actual intended signer, the ceremony will either fail (the wrong person cannot pass a face match against an incorrect reference) or succeed incorrectly (if someone happens to resemble the wrong reference). You are responsible for providing an accurate, current, well-lit reference.

We record the following during the ceremony, and store it as part of the certificate:

• The signer's identity at signature: name, email, IP address, user-agent string, and (when supplied by the browser) a device fingerprint hash.
• The result of every identity check (pass, fail, or score).
• The document SHA-256 hash and the certificate manifest hash.
• Timestamps at every step.

We do not store the raw biometric media. Voice recordings, liveness video, and face-match frames are destroyed immediately after the ceremony completes — before the certificate is issued. Only the derived result remains.

6. Coerced signing — reporting and process

We will:

• Reply within 24 hours with a structured questionnaire that asks for the certificate reference, the signer's full legal name as it appears on the document, their relationship to the transaction, the nature of the coercion, whether law enforcement has been contacted (and the case number if so), and the outcome you are seeking.
• Log your report permanently in the transaction's audit trail. This log cannot be modified or erased, including by us.
• Flag the certificate as under active dispute. Anyone scanning the QR code on the certificate or visiting the public verification URL will see the dispute banner and a contact address.
• Provide the certificate record to law enforcement on request, in accordance with our legal obligations.
• Coordinate with your attorney or the other party's attorney on request.

We will not:

• Erase the original signature. A signed instrument is a historical event that occurred. It can be marked as disputed, but not undone.
• Void a legal agreement. Only a court can void a contract.
• Reverse a payment already processed by our merchant of record.
• Respond to emergency situations. If you are in immediate physical danger, call your local emergency number first. District Seal is not a crisis service.

7. Public verification

Every certificate produced by District Seal carries a QR code and a public URL. Anyone who scans or visits it can confirm:

• Whether the certificate is valid.
• The signer's name and email.
• The certificate reference number.
• The prefix of the document SHA-256 hash.
• The verification mode and timestamp.
• The issuer's organisation name.
• Whether the certificate is currently flagged as under dispute.

They cannot see the document itself, the signer's photograph, or the raw forensic events without authorisation. We strongly encourage parties receiving a signed document through District Seal to scan the QR code before relying on it — this is the single most effective way to detect a forged or disputed certificate.

8. Access to records — for anyone who needs proof

Requests are accepted from:

• The individual who signed the document.
• The organisation on whose behalf the document was signed.
• A party named in the underlying agreement.
• A lawyer, law firm, or legal representative acting for any of the above.
• A court, judge, or court officer acting under lawful authority.
• Law enforcement, a public prosecutor, or a government authority acting under lawful authority.
• An employer, school, church, hospital, or similar institution with a documented legitimate interest in the record.

Your request must come from an official email address belonging to the requesting organisation — a company domain, a court, a police service, a school, a hospital, or a government domain. Free email services are not accepted for third-party requests.

Your request should include, in a single email:

• Your full name, role, organisation, official email, and phone number.
• The legal basis for your request (subpoena, court order, employment relationship, contract, etc.).
• The certificate reference (format DS-TX-XXXXXXXX).
• Attachments: signed authorisation or court order (PDF), photo ID of the requester (PDF or JPG), proof of official role (badge, letterhead, bar number).
• A single sentence stating exactly what you are requesting.

A complete request receives the certified record on our first reply. A request with missing items receives one reply asking for the missing items, and then the record. Please include everything you have on the first try.

We reserve the right to refuse any request we believe to be unlawful, abusive, or not supported by a legitimate interest. Where we refuse, we will explain why in writing.

9. Acceptable use

You agree not to use District Seal to:

• Sign any document on behalf of another person without their knowledge and consent.
• Forge, alter, or falsify any document, certificate, or verification result.
• Circumvent, disable, or interfere with the six-step identity ceremony.
• Upload any document or reference photograph that you do not have the legal right to upload.
• Upload any content that is unlawful, defamatory, harassing, or that infringes on the rights of another person.
• Impersonate any person or organisation.
• Attempt to reverse-engineer, decompile, or otherwise extract the source code of the service.
• Use the service to send unsolicited commercial email.
• Use the service in any jurisdiction where doing so would violate local law.
• Exceed any rate limit or resource quota we publish for your plan.

We may suspend or terminate your access for violation of this section without prior notice, and we may cooperate with law enforcement in the investigation of any criminal activity.

10. Fees and billing

District Seal is offered on the following plans:

• Free — up to 3 signatures per month at no charge.
• Pay-as-you-go — one-time purchase of signature credits, no subscription.
• Pro — recurring monthly subscription, currently $29 per month.
• Firm — recurring monthly subscription, currently $99 per month.

All payments are processed by our merchant of record, Dodo Payments. We never see or store your card details. Dodo Payments appears on your bank statement.

Subscriptions renew automatically at the end of each billing period unless you cancel. You can cancel at any time from your dashboard; access continues until the end of the period you already paid for.

Refunds are governed by our Refund Policy.

We reserve the right to change prices on 30 days' notice. If you do not cancel before the change takes effect, the new price applies to your next renewal.

11. Intellectual property

Your content. You retain all rights to any document you upload, and to any certificate produced from your documents. You grant us a limited licence to store, process, and display that content solely for the purpose of providing the service to you and to the parties you invite.

Our platform. District Seal, the certificate format, the verification page design, the identity ceremony, the source code, the trademarks, and all related intellectual property are owned by NEXSIM LLC. You may not copy, modify, or create derivative works from any part of the platform without written permission.

Feedback. If you send us feedback or feature suggestions, you grant us the right to use them without restriction or compensation.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The service will be uninterrupted, timely, secure, or error-free.
• Any document signed through District Seal will be admissible in any specific court or jurisdiction.
• Any transaction will be upheld in any dispute.
• Any certificate will satisfy any specific legal or regulatory requirement.

You are solely responsible for determining whether District Seal is appropriate for the specific legal requirements of any transaction you conduct through it. Consult a licensed attorney in the relevant jurisdiction before relying on the service for any legally significant purpose.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXSIM LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnity

You agree to indemnify, defend, and hold harmless NEXSIM LLC, its officers, directors, employees, and agents from any claim, damage, loss, or expense (including reasonable legal fees) arising out of or relating to:

• Your use of the service in violation of these Terms.
• Your violation of any law or the rights of any third party.
• Any document you upload that you did not have the right to upload.
• Any claim by a signer or third party related to a transaction you created.

15. Termination

You may terminate these Terms at any time by deleting your account from your dashboard or writing to support@districtseal.com. Termination does not entitle you to a refund of any fees already paid.

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or the rights of a third party, or if we discontinue the service entirely.

Sections 5, 8, 11, 12, 13, 14, and 16 survive termination.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Montana, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the service shall be brought exclusively in the state or federal courts located in Montana, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

Before filing any formal proceeding, both parties agree to attempt in good faith to resolve the dispute informally by writing to legal@districtseal.com.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last updated" date at the top. If we make a material change, we will notify you by email at least 30 days before the change takes effect. Continued use of the service after the change takes effect constitutes acceptance of the revised Terms.
